The meeting is scheduled for the Centre for National Culture, Kumasi (Quarshie Idun Hall) on Monday, 19^th April 2021.

The decision to have a general meeting, according to the music rights body, has been occasioned by calls from the membership of the Society nationwide, further to Section 6.6.(1) of the GHAMRO constitution.

The public will recall that an Election Committee was elected at the Annual Congress held at the General Assembly in Kumasi on October 14, 2020 to oversee the elections in March 2021 and swear in a new Board.  

In the course of the subsequent process, twelve aspirants picked forms to contest out of which three (3) persons were disqualified after the vetting, on the grounds of having contested on two conservative terms further to Section 4.4(2) of the new constitution which states that “a member of the Board may be re -elected for another term but not more than two conservative terms”

Following the petition by the three disqualified members to the board, it was decided that the Committee should allow all aspirants to compete in an open contest to avoid any legal action that may delay the process.

The Election Committee however stuck to its decision during which period, the board also exited after its term expired and handed over to Management.

This situation was the result of the postponement of the election on three occasions. Subsequently Management met with the Election Committee on the 25^th March, 2021 and 6^th April, 2021 on a roadmap and wrote to the Attorney General for assistance for the interpretation and application of the provisions 4.4. of the constitution.

Having regard to ensuring a good corporate process, with respect to congress appointing an interim board to approve operational and administrative costs, coupled with the calls by members, Management has opted in response to Section 6.6(2), to organize the Extra-Ordinary General Meeting as indicated.

The agenda of the meeting as published in the Daily Graphic of the 13^th April, 2021, is to report the state of the Society to congress, appoint an interim body to approve expenditure and for the Election Committee to update the congress.

Speaking at the 13^th Annual General Meeting held virtually, the Board Chairman said, the Board and Management are constantly responding to new industry and market conditions to continuously improve for the benefit of shareholders and the general insuring population.

According to him, the company, has shown great resilience amidst the various challenges that characterized the operating environment in the year 2019.

He said, there was every reason to be appreciative to all the shareholders and customers of the company who had shown a high level of commitment and patronage to the Company in helping it cross the 100% target set for the year under review by recording a Gross Premium of GH¢211m representing a 14% share of the market. 

He said there is a great sense of optimism that the days ahead will continue to look brighter and better.

Dr. Jimmy Heymann said, the goal of the Board is to ensure responsible corporate management aimed at long-term growth while simultaneously maintaining effective corporate control.

As industry leaders, we have a responsibility to lead the way and push for total compliance with all regulatory requirements to strengthen the insurance industry in Ghana he added. 

In his report, the Managing Director, Mr. Stephen Oduro informed that as the journey of transformation continues, the company will pursue a customer-focused strategy of putting the customer at the heart of everything it does to deliver its business sustainability program.

The company he added has invested a lot in the IT and greater part of its operation is now done online through its virtual teams in a bid to stay relevant in future and more especially as the world continue to grapple with the coronavirus pandemic bringing uncertainties.

“We are retraining our people to make use of the new digital technologies to enhance efficiency in our service delivery. We are also focused on protecting the health and safety of our employees, our distributing partners in the agent/broker community as we collectively strive to maintain business continuity”.
